1. Definitions

• "Agreement" — these Terms together with any service engagement letter or proposal.
• "We / Us / Our" — Đèn Trí, operating in Hanoi, Vietnam.
• "You / User" — any individual or organization accessing our website or services.
• "Services" — AI advisory and training programs offered by Đèn Trí.
• "Content" — all materials on this website including text, images, and documents.

2. Acceptance of Terms

By using this website or engaging our Services, you confirm that you are at least 18 years of age, have legal capacity to enter binding agreements, and are acting on behalf of yourself or as an authorized representative of your organization. If you do not agree to these Terms, please do not use this website or our Services.

3. Service Description

Đèn Trí provides AI advisory and training services for organizations in Vietnam. Programs include the AI Awareness Seminar for Leadership (4.500.000 ₫), the AI Data Readiness and Governance Program (16.000.000 ₫), and the Ongoing AI Advisory and Training Retainer (30.000.000 ₫ per year). 4. User Responsibilities

When using this website or engaging our Services, you agree to:

• Provide accurate information in any contact or engagement form
• Not attempt to gain unauthorized access to any part of our website or systems
• Not use our website for any unlawful or harmful purpose
• Not copy, reproduce, or redistribute our website Content without prior written permission
• Comply with all applicable Vietnamese laws in connection with your use of our Services

5. Intellectual Property

All Content on this website — including program frameworks, training materials, assessment tools, and written deliverables produced in the course of an engagement — is the intellectual property of Đèn Trí unless explicitly agreed otherwise in a written service engagement. Clients receive a limited, non-exclusive license to use deliverables produced for their specific engagement within their own organization. Redistribution, resale, or commercial use of deliverables without written consent is prohibited.

6. Payment Terms

Pricing for all programs is stated in Vietnamese Đồng (₫) and is subject to the specific terms outlined in the engagement proposal or letter of agreement. Unless otherwise specified:

• The Leadership Seminar requires 50% payment upon booking confirmation and 50% upon delivery
• The Data Readiness Program is invoiced in two instalments: 50% upfront, 50% upon delivery of final deliverables
• The Advisory Retainer is invoiced quarterly in advance
• Payment is due within 15 business days of invoice date

We accept bank transfer to our nominated Vietnamese bank account. Invoice details are provided upon engagement confirmation.

7. Refund and Cancellation Policy

The Leadership Seminar: cancellation more than 5 business days before the scheduled date results in a full refund of any deposits paid. Cancellation within 5 business days is non-refundable.

The Data Readiness Program: the initial instalment is refundable if the engagement is cancelled before the discovery phase begins. Once work has commenced, refunds are assessed based on work completed at the time of cancellation.

The Advisory Retainer: the retainer may be terminated by either party with 30 days written notice. Unused prepaid retainer fees for periods after the termination effective date are refunded on a pro-rata basis.

8. Confidentiality

All service engagements are governed by a mutual confidentiality agreement. Đèn Trí will not disclose client information, organizational findings, or internal data assessments to any third party except as required by Vietnamese law. Clients agree not to disclose Đèn Trí's methodologies, frameworks, or proprietary tools to third parties without prior written consent.

9. Disclaimers

Our Services provide advisory guidance and organizational training based on available information and our professional judgment at the time of the engagement. We do not warrant specific business outcomes from following our recommendations. AI technology, regulatory guidance, and organizational contexts change — our advice reflects the state of knowledge at the time of delivery.

10. Limitation of Liability

To the maximum extent permitted by Vietnamese law, Đèn Trí's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for the specific program giving rise to the claim. We shall not be liable for indirect, consequential, or incidental losses, including loss of profit or business opportunity, arising from the use of our Services or website.

11. Indemnification

You agree to indemnify and hold Đèn Trí harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of our Services, or your violation of any applicable law.

12. Termination

Either party may terminate a service engagement as provided in Section 7. We may suspend access to our website or refuse service to any user who breaches these Terms. Obligations relating to confidentiality, intellectual property, and payment for work delivered survive termination of any engagement.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, the matter shall be submitted to the competent court in Hanoi, Vietnam.

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. For existing service engagements, updated Terms do not affect the terms of that engagement unless otherwise agreed in writing. Continued use of our website after updates are posted constitutes acceptance of the revised Terms.
